Welcome to RCFE 4 Sale. These Terms of Use (“Terms”) govern your access to and use of the RCFE 4 Sale website, located at rcfe4sale.com (the “Platform”), operated by [LEGAL ENTITY NAME] (“RCFE 4 Sale,” “we,” “us,” or “our”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
1. What RCFE 4 Sale Is – and Is Not
RCFE 4 Sale is an online listing platform and advertising marketplace that allows operators, owners, real estate agents, and brokers (“Listing Parties”) to advertise licensed residential care facilities and related properties, and allows prospective buyers, lessees, and investors (“Visitors”) to browse those listings.
RCFE 4 Sale is not a real estate broker and does not provide real estate brokerage services. We do not represent buyers or sellers in any transaction, do not negotiate transactions, do not hold or transfer funds related to property transactions, and do not earn commissions on any sale, lease, or transfer. All transaction representation, negotiation, and advice is the sole responsibility of the licensed parties involved. RCFE 4 Sale is solely a venue for advertising and connecting parties.
2. No Verification of Listings
Listings on the Platform are created and submitted by Listing Parties. RCFE 4 Sale does not independently verify the accuracy, completeness, or legality of any listing, including but not limited to license status, license number, bed count, occupancy, waiver participation, pricing, financial information, or property condition. Visitors are solely responsible for conducting their own due diligence and verifying all information directly with the Listing Party and relevant regulatory authorities before entering into any transaction.
3. Eligibility and Accounts
You must be at least 18 years old and able to form a legally binding contract to use the Platform. When you create an account, you agree to provide accurate information and to keep it current. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
4. Listing Rules
By submitting a listing, you represent and warrant that: (a) you are authorized to advertise the property; (b) all information you provide is accurate and not misleading; (c) you will comply with all applicable laws, including fair housing and advertising laws; and (d) you hold any licenses required to offer the property for sale or lease. We reserve the right to review, edit, reject, or remove any listing at our discretion, including listings that are inaccurate, unlawful, or inconsistent with the Platform’s purpose.
5. Subscriptions, Fees, and Payments
Certain features require a paid subscription or one-time purchase (“Paid Services”). Fees, listing limits, and durations are described on our Pricing page and are subject to change with notice. Payments are processed by a third-party payment processor; by purchasing Paid Services you agree to that processor’s terms. Unless otherwise stated, fees are non-refundable. We are not responsible for the outcome of any listing, including whether it results in a transaction.
6. Prohibited Conduct
You agree not to: post false, misleading, or fraudulent listings; violate any law or third-party right; scrape, harvest, or copy listings or data without authorization; interfere with the Platform’s operation or security; impersonate any person or entity; or use the Platform to transmit spam, malware, or harmful content.
7. Intellectual Property
The Platform, including its design, text, graphics, logos, and software, is owned by RCFE 4 Sale or its licensors and is protected by intellectual property laws. Listing Parties retain ownership of content they submit but grant RCFE 4 Sale a non-exclusive, royalty-free license to display, reproduce, and distribute that content in connection with operating and promoting the Platform.
8. Disclaimers
THE PLATFORM AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. RCFE 4 Sale does not warrant that listings are accurate, that the Platform will be uninterrupted or error-free, or that any transaction will be completed.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RCFE 4 Sale AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE PLATFORM OR ANY TRANSACTION BETWEEN USERS. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless RCFE 4 Sale and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Platform, your listings, or your violation of these Terms.
11. Third-Party Links and Services
The Platform may contain links to third-party websites or services, including those of affiliated company RCFE Central. We are not responsible for the content or practices of third parties.
12. Termination
We may suspend or terminate your access to the Platform at any time, with or without cause or notice. Provisions that by their nature should survive termination will survive.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted on this page with a revised “Last updated” date. Your continued use of the Platform after changes take effect constitutes acceptance.
14. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in [COUNTY], California.
